tosgenerator — Terms of Service

Version 3 · in force since 3 Oct 2026

Effective date: 4 October 2026 · Version 2026-10-04

These Terms of Service ("Terms") are a contract between you and Sprout LLC, the company that operates tosgenerator. Sprout LLC's details are in section 26 ("Legal notice").

Summary (not a replacement for the full Terms)

  • tosgenerator is a website and repository monitor. It compares observed services with readable policy pages and reports changes for you to review. It is not a law firm and does not give legal advice. A finding, or no finding, does not mean that your website or policy complies with the law.
  • Paid plans renew automatically until you cancel. You can cancel online at any time in Billing → Manage subscription. You keep paid features until the end of the period that you paid for.
  • Refunds: we refund your first payment if you ask within 14 days. We make one refund per customer. Renewals are not refunded, except where the law requires a refund.
  • If you are a consumer, you keep all the rights that the consumer law of your country gives you. Sections 13, 19 and 22 explain these rights.

1. These Terms and who they apply to

1.1. These Terms apply when you visit tosgenerator.com, create an account, use the website scanner, policy comparison, website or connected repository monitoring, or any other part of the service (together, the "Service"). Hosted documents, document downloads and the consent banner are not offered to new customers and are currently not available in the Service. A banner that is already installed keeps recording choices. You can ask hola@tosgenerator.com for a copy of your documents or consent records.

1.2. You accept these Terms when you create an account, start a paid subscription or use the Service. If you use the Service for an organization, you accept these Terms for that organization, and you confirm that you have the authority to do so. In that case "you" means the organization.

1.3. Business customers and consumers. The Service is made for businesses, but consumers can also buy it. A "consumer" is a person who acts for purposes outside their trade, business, craft or profession. Some sections apply only to business customers or only to consumers. If a section says so, it applies only to that group. Nothing in these Terms limits the rights that mandatory consumer law gives you.

1.4. These documents also form part of the contract: the Refund and Cancellation Policy (/legal/refunds), the Data Processing Addendum (/legal/dpa) (for business customers that use the Service to process personal data) and the plan details shown on the pricing page (/pricing) when you buy. The Privacy Policy (/legal/privacy) and the Cookie Policy (/legal/cookies) explain how we use personal data. They are not part of the contract.

2. The Service

2.1. tosgenerator can:

  • scan public website pages and record bounded observations, such as cookie names, script hosts, third-party services and form field types;
  • compare observed services with readable policy pages and show possible gaps for your review;
  • monitor verified websites with scheduled checks and notify you of newly detected policy gaps;
  • monitor repositories that you connect through GitHub (beta) and, if you turn this on, post checks or issues about detected changes.

Hosted documents, document downloads and the consent banner are not offered to new customers and are currently not available in the Service. A banner that is already installed keeps recording choices. You can ask hola@tosgenerator.com for a copy of your documents or consent records.

2.2. The features, limits (for example the number of sites and check frequency) and prices of each plan are shown on the pricing page. We can improve or change features. If a change removes a material feature of a paid plan during your paid period, section 16 applies.

2.3. Some features are marked "beta", "preview" or "planned". They can change or stop, and they can contain errors. Planned features are not part of your plan until we release them.

3. Your responsibility for findings and existing documents

3.1. It is not a law firm and does not give legal advice. A finding, or no finding, does not mean that your website or policy complies with the law. tosgenerator is a software tool, not a law firm. Using the Service does not create a lawyer–client relationship. Our templates are drafted with care, but unless the Service states otherwise for a specific template, a lawyer has not reviewed them. No lawyer reviews the documents generated for you.

3.2. Every previously generated document is a draft. You decide whether to use, change or publish it. Before you publish a document, you must check that it is accurate and complete for your business and that it meets the laws and platform rules that apply to you. If you are not sure, ask a qualified lawyer.

3.3. A scan sees only part of a website. It observes public pages, at one time, from one location and normally before a visitor gives consent. It cannot see logged-in areas, server-side processing, offline processing, contracts with your providers or your internal practices. A scan result is an observation, not an audit. You are responsible for telling us correct facts and for correcting anything that the scan missed or got wrong.

3.4. You are responsible for doing what your documents say. A document does not make your business compliant. For example, if your privacy policy says that you answer data requests within one month, you must do so.

3.5. Findings distinguish observed facts (Found), unconfirmed inferences (Likely) and questions for you (Ask). The vendor classifier is not active. AI does not write the legal text of your documents.

3.6. Existing consent banners only; the consent banner is not offered to new customers. The banner controls only the scripts that you tag as described in our installation guide. It does not block other scripts automatically, and it cannot undo a script that already ran. It is not an IAB Transparency and Consent Framework (TCF) consent platform and it is not certified by Google. If you show Google ads to visitors in the EEA, the UK or Switzerland, you can need a certified consent platform. You are responsible for configuring the categories, for tagging your scripts, and for checking that the banner works on your site.

4. Accounts

4.1. You must be at least 18 years old and able to make a binding contract.

4.2. Give us true and complete information and keep it up to date. Keep your sign-in details secure. Tell us at once at hola@tosgenerator.com if you think someone used your account without permission. You are responsible for what happens in your account, unless it is caused by our breach of these Terms.

4.3. If you invite team members, you are responsible for their use of the Service and for removing their access when they should no longer have it.

5. Acceptable use

5.1. Scan only websites that you own or that you are authorized to test. Do not use the Service to overload, attack, probe for weaknesses in or collect personal data from any website.

5.2. You must not:

  • break the law or the rights of others, including intellectual-property and privacy rights;
  • upload malware or try to get around our security, rate limits or plan limits;
  • access the Service with bots or scrapers, except through the features and interfaces that we offer for that purpose;
  • copy, resell or rebuild our templates or clause library as a competing product, or use the Service to build a competing product;
  • publish documents that you know are false or misleading, or use the Service to deceive people;
  • remove or hide the attribution badge on the Free plan (section 7);
  • use the Service if you are subject to sanctions, or in a way that breaks export or sanctions laws.

5.3. We can remove content or suspend access that breaks this section, as described in section 21.

6. Your content and your visitors' data

6.1. "Your Content" means the information that you give us or that the Service collects for you: website addresses, scan findings, policy comparisons, connected repository metadata, your answers and any existing documents, banner configuration and visitor consent records.

6.2. You keep all rights in Your Content. You give Sprout LLC a worldwide, non-exclusive licence to host, copy, process, show and transmit Your Content only to provide, secure and support the Service for you, and as required by law.

6.3. Processor role. When the Service processes personal data for you, for example the consent records of your visitors or personal data in your documents, you are the controller (or "business") and Sprout LLC is your processor (or "service provider"). Our Data Processing Addendum (/legal/dpa) applies to that processing and forms part of these Terms. You are responsible for having a lawful basis for that processing and for giving your visitors the notices that the law requires, including, for existing consent banner use, a notice that you use Sprout LLC as a consent-management provider.

6.4. We do not sell your visitors' personal data, we do not use it for advertising, and we do not combine it with other data, except as the Data Processing Addendum allows.

7. Free plan and attribution badge

7.1. The Free plan has the limits shown on the pricing page. We can change Free plan limits at any time with reasonable notice.

7.2. For existing customer documents and banners, on the Free plan, hosted pages, embeds, downloaded files and the consent banner show a small "tosgenerator" badge with a link to our website. You must not remove, hide or change the badge. Eligible paid plans remove the badge as shown on the pricing page. If your paid plan ends, the badge returns.

7.3. We can stop the Free plan or close inactive Free accounts with at least 30 days' notice by email. Existing downloaded copies remain yours to keep.

8. Plans, prices and taxes

8.1. Monitoring is billed monthly per site, for the number of sites that you choose at checkout or later in Billing → Manage subscription. Agency is a monthly plan for up to 25 sites. Both plans include weekly website checks, subject to verified site ownership and scan availability. Current plans, prices and limits are shown on the pricing page (/pricing). Founding is closed to new purchases. Existing subscriptions keep their plan, price and site limits. Prices are in US dollars (USD) and are shown on the pricing page and at checkout. The price that applies is the price shown at checkout when you buy.

8.2. The price shown at checkout is the price we charge. We do not add taxes to it. You are responsible for any taxes that apply to you under your local law. Checkout lets a business enter a tax ID, which Stripe prints on the invoice.

8.3. Stripe processes all payments for Sprout LLC. We do not see or store your full card number. Your bank can charge currency-conversion fees or local taxes on payments in USD. These fees are not part of our price.

8.4. If a payment fails, Stripe can try again. While Stripe retries a past-due payment, you keep your paid plan. If the subscription becomes unpaid, your account uses the Free plan limits. Your documents and settings are not deleted.

9. Automatic renewal

9.1. Paid plans are subscriptions that renew automatically. A monthly plan renews every month. A yearly plan renews every year. Each renewal is for the same period, at the price in effect at the time of the renewal (see section 11), until you cancel. The price is the price we charge; we do not add taxes to it (section 8.2).

9.2. We charge your payment method on the day you subscribe, and then at the start of each renewal period. There is no minimum term beyond the period you paid for.

9.3. Before a yearly plan renews, we send you an email reminder at least 15 days and not more than 30 days before the renewal date. The reminder states the date, the amount and how to cancel. For monthly plans, we send a reminder of these terms at least once a year.

9.4. We keep a record of your consent to the automatic renewal terms (the text you saw, the date, the time and technical data such as your IP address) for at least 3 years, or 1 year after your subscription ends, whichever is longer.

10. Cancellation

10.1. You can cancel online at any time in Billing → Manage subscription. Cancellation takes a few clicks. You do not have to call us, write to us or accept an offer to cancel. You can also email hola@tosgenerator.com and we will cancel for you.

10.2. Cancellation stops the next renewal. It takes effect at the end of the period that you already paid for. Until then, you keep your paid features. After that, your account moves to the Free plan.

10.3. When your account moves to the Free plan, we do not delete your sites, documents or settings. Free plan limits apply again, for example to the number of sites that you can monitor.

10.4. We send an email that confirms your cancellation.

10.5. To delete your account and your data, use the delete-account option in your account settings or email us. Deleting the account takes your hosted pages offline, stops your consent banner from recording choices, and deletes your data as described in the Privacy Policy and the Data Processing Addendum. Download anything that you want to keep first.

11. Price changes

11.1. We can change our prices. We will email you at least 30 days before a new price applies to your subscription. The new price applies from your first renewal after the end of that notice period.

11.2. If you do not agree with the new price, cancel before the renewal. You will not pay the new price.

12. Refunds

12.1. First payment. We refund your first payment for a plan in full if you ask within 14 days after that payment. It does not matter how much you used the Service.

12.2. We make one refund per customer under section 12.1. Renewals are not refundable, and we do not give partial refunds for unused time. You can cancel at any time (section 10).

12.3. This section does not limit refunds that the law requires, including the consumer rights in section 13 and refunds for our own failure to provide the Service.

12.4. To ask for a refund, email hola@tosgenerator.com from your account email. We pay refunds to the original payment method within 14 days after we accept the request.

12.5. If you open a chargeback for a payment that you could have cancelled or refunded under these Terms, we can provide our records to your bank, including your acceptance of these Terms, your checkout consents and your account activity.

13. Consumer rights

13.1. Consumers in the EU, EEA and UK — right of withdrawal

(a) If you are a consumer in the European Union, the European Economic Area or the United Kingdom, you can withdraw from the contract within 14 days after the day you subscribe, without giving a reason.

(b) How to withdraw. Use the "Withdraw from contract here" button in Billing. The button is also linked from the footer of our website and from your confirmation email. You can also send a clear statement to hola@tosgenerator.com, or use the model withdrawal form below. We confirm your withdrawal on a durable medium (email) without undue delay.

(c) Immediate access. At checkout you may request access during the 14-day withdrawal period. Starting an ongoing subscription, using a feature or receiving a document does not itself waive your statutory withdrawal rights. If you requested immediate service and later withdraw, a proportionate amount may be due for service actually provided where the law permits. We retain your request and the wording you accepted.

(d) Refund after withdrawal. If you withdraw before any such use, we refund all payments received from you without undue delay, and not later than 14 days after we receive your withdrawal, to the original payment method. If the law still gives you a right of withdrawal after use, for example for the service part of the contract, we refund the amount that the law requires, which can be reduced by a proportionate amount for the service that we provided up to the date of withdrawal.

(e) Model withdrawal form. "To Sprout LLC, 299 NW 46th St, Boca Raton, FL 33431, USA, hola@tosgenerator.com: I/We hereby give notice that I/We withdraw from my/our contract for the following service: tosgenerator [plan]. Ordered on: [date]. Name of consumer(s): [name]. Address of consumer(s): [address]. Account email: [email]. Date: [date]."

13.2. Consumers in Argentina

(a) If you are a consumer in Argentina, you can revoke your acceptance of a subscription within 10 calendar days after you subscribe, without cost or liability (Ley 24.240, art. 34, and Código Civil y Comercial, arts. 1110 and following). Use the "Botón de arrepentimiento" link in the footer of every page of our website. You do not need to sign in or register to use it. We send you an identification code for your request within 24 hours. We refund the amount paid to the original payment method. Where article 1116 of the Código Civil y Comercial excludes the right of revocation for digital files that you already downloaded, that exclusion applies only to the extent that the law allows it.

(b) You can cancel your subscription at any time with the "Botón de baja" link in the footer of our website or in Billing, by the same online means that you used to subscribe (Ley 24.240, art. 10 ter). We send you a cancellation code within 24 hours.

13.3. Consumers in Brazil

If you are a consumer in Brazil, you can withdraw within 7 days after you subscribe (Código de Defesa do Consumidor, art. 49). Use the withdrawal button in Billing or email hola@tosgenerator.com. We refund the amounts paid without delay.

13.4. Other consumer rights

If you are a consumer, you also have the statutory rights of the country where you live, including rights for services that are not provided with reasonable care and skill. These Terms do not limit those rights.

14. Intellectual property and your licence to the documents

14.1. Sprout LLC and its licensors own the Service, including the software, the templates, the clause library, the questionnaires, the design and the brand "tosgenerator". These Terms do not transfer them to you.

14.2. Licence to generated documents. Subject to your payment of any fees due, we give you a worldwide, perpetual, non-exclusive, royalty-free licence to use, copy, change, translate, publish and distribute the documents generated for you, for your own business and websites. On an Agency plan, you can also use them for the clients for which you create them. This licence continues after your subscription ends. You must not offer our templates or generated documents as a template product, a template library or a document generator.

14.3. If a document includes material under an open licence, we show the attribution. Keep that attribution where the licence requires it.

14.4. If you send us feedback or ideas, we can use them without any obligation to you.

15. Third-party services

15.1. Stripe. Stripe processes payments under its own terms and privacy policy. Some payment data is processed by Stripe as an independent controller, for example for fraud prevention.

15.2. Other providers. We use providers for hosting, networking, security, email and similar functions. They are listed in our subprocessor list (/legal/subprocessors).

15.3. Third-party websites and tools. The Service can link to or work with websites, tags, platforms and tools that we do not control, for example the scripts on your website, Google Consent Mode or app stores. We are not responsible for them, their availability or their rules. You are responsible for complying with their terms.

16. Availability and changes to the Service

16.1. We work to keep the Service available, but we do not promise that it is free of errors or always available. We can carry out maintenance. When we can, we give notice of planned maintenance that is likely to affect paid plans.

16.2. If we remove a material feature of a paid plan during a period that you paid for, you can cancel and we refund the prepaid fees for the rest of that period. If you paid for hosted documents or the consent banner before they became unavailable, you can cancel, and we refund the prepaid fees for the rest of that period.

16.3. An installed consent banner depends on our infrastructure. Keep your own copy of your documents.

17. Confidentiality and security

We protect Your Content with the security measures described in the Data Processing Addendum. Our staff and providers access Your Content only when they need it to provide, secure or support the Service, or when the law requires it.

18. Warranty disclaimer

18.1. To the extent the law allows, the Service and all generated documents are provided "as is" and "as available". Sprout LLC disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that a document or a scan is complete, accurate, up to date or compliant with any law, regulation or platform policy.

18.2. Consumers: this section does not exclude or limit the legal guarantees and rights that consumer law gives you and that cannot be excluded by contract.

19. Limitation of liability

19.1. To the extent the law allows, Sprout LLC is not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill or data, or for fines, penalties, regulatory sanctions, claims of third parties or app-store rejections, arising out of or in connection with the Service or these Terms, even if we were told that such damages were possible.

19.2. To the extent the law allows, the total liability of Sprout LLC for all claims arising out of or in connection with the Service or these Terms is limited to the greater of USD 100 or the fees that you paid to Sprout LLC for the Service in the 12 months before the event that caused the liability.

19.3. Sections 19.1 and 19.2 do not limit liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) gross negligence or wilful misconduct; or (d) any other liability that cannot be limited or excluded by law.

19.4. Consumers in the EU, EEA and UK: sections 19.1 and 19.2 do not apply to you. We are responsible for loss or damage that you suffer and that is a foreseeable result of our breach of these Terms or of our failure to use reasonable care and skill. Loss or damage is foreseeable if it is obvious that it will happen or if both of us knew that it could happen when the contract was made. We are not responsible for business losses.

19.5. Consumers in Argentina and Brazil: sections 19.1 and 19.2 apply only to the extent that the Ley 24.240 (including art. 37) or the Código de Defesa do Consumidor allow them.

20. Indemnity (business customers only)

20.1. If you are a business customer, you will defend and indemnify Sprout LLC and its members, managers and staff against any third-party claim, fine or penalty, and the related reasonable costs and legal fees, that arise from: (a) Your Content, including documents that you publish or use; (b) your website, your processing of personal data and your use of the consent banner; (c) scans of websites that you did not own or were not authorized to test; or (d) your breach of these Terms or of the law.

20.2. We will tell you promptly about the claim, let you control the defence, and give you reasonable help at your cost. You must not settle a claim that makes us admit fault or pay money without our written consent.

20.3. This section does not apply to consumers.

21. Suspension and termination

21.1. You can stop using the Service and delete your account at any time (section 10.5).

21.2. We can suspend or limit your account at once if you seriously break section 5, if you do not pay, if your use causes a security risk or harms other users, or if the law or an authority requires it. When we can, we tell you first and give you a reasonable time to fix the problem.

21.3. We can end these Terms with you: (a) with 30 days' notice for any reason; or (b) at once if you seriously or repeatedly break these Terms. If we end them under (a), or for a reason that is not your fault, we refund the prepaid fees for the rest of your paid period.

21.4. When these Terms end, your right to use the Service ends. Your licence to documents that you already received continues (section 14.2), except if we ended the Terms because you seriously broke them. For 30 days after the end, you can ask us for a copy of your documents and consent records. After that, we delete Your Content as described in the Data Processing Addendum and the Privacy Policy.

21.5. Sections that by their nature should continue after the end of these Terms continue, including sections 12, 14, 18, 19, 20, 22 and 25.

22. Governing law and disputes

22.1. These Terms and any dispute about them are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22.2. The state and federal courts located in the State of Delaware have exclusive jurisdiction, except that either party can bring an individual claim in a small-claims court that has jurisdiction.

22.3. Business customers waive any right to a jury trial, to the extent the law allows.

22.4. Consumers: if you are a consumer, this section does not take away the protection of the mandatory laws of the country where you live. You can bring a claim in the courts of the country where you live, and we can bring a claim against you only in those courts. Consumers in the EU can also use the dispute-resolution bodies of their country. Consumers in Argentina can use the consumer-protection authorities and courts of their domicile (Ley 24.240, art. 36).

22.5. Before you start a formal claim, please write to facundomartin@sproutco.io. We try to solve the problem within 30 days.

23. Changes to these Terms

23.1. We can change these Terms. We show the effective date at the top.

23.2. If a change is material, we email account owners and show a notice in the Service at least 30 days before the change takes effect. For paid subscriptions, a material change applies from your next renewal after the notice period. If you do not agree, you can cancel before the change applies to you. If you are a consumer, a change does not take away rights that you already have for a period that you paid for.

23.3. We can make changes that are required by law, or that are needed for security, with shorter notice. We tell you as soon as we can.

24. General

24.1. Entire agreement. These Terms and the documents in section 1.4 are the whole agreement between you and Sprout LLC about the Service.

24.2. Assignment. You can transfer these Terms only with our written consent. We can transfer them to a company that takes over the Service or our business, if your rights are not reduced. We tell you if this happens.

24.3. Force majeure. Neither party is liable for a delay or failure caused by events outside its reasonable control, except for payment obligations.

24.4. Severability and waiver. If a court finds that part of these Terms is invalid, the rest stays in force. If we do not enforce a right at once, we do not waive it.

24.5. Language. We can provide these Terms in several languages. If the versions differ, the English version applies, except where the law of a consumer's country requires its own language version to apply.

24.6. Notices. We send notices to the email address of your account. You send notices to facundomartin@sproutco.io.
